Terms of Service.

These Terms of Service (the "Terms") govern your access to and use of the website at idencode.com and any services, products, or platforms (including web applications such as our Business Plan Builder) provided by idenCode Solutions LLC, a North Carolina limited liability company ("idenCODE", "we", "us", or "our"). By accessing the site or engaging our services, you agree to these Terms. If you do not agree, please do not use the site or services.

// 01 Acceptance

By using idencode.com, creating an account in any of our applications, or signing a proposal with idenCODE, you confirm that you are at least 18 years old, have the authority to enter into a binding agreement (whether on your own behalf or on behalf of an organization you represent), and accept these Terms in full.

// 02 Services described

idenCODE provides business development, branding, digital marketing, software development, and related advisory services. Specific deliverables, timelines, and fees for any engagement are defined in a separate written proposal, statement of work, or order form. In the event of a conflict between these Terms and a signed proposal, the proposal controls for that engagement.

// 03 Your responsibilities

• You will provide accurate, complete, and timely information when requested.
• You will not use the site or services for any unlawful purpose, to infringe the rights of others, or in a way that could damage, disable, or impair the services.
• You are responsible for maintaining the confidentiality of any account credentials issued to you and for all activity under those credentials.
• You agree to comply with all applicable laws and regulations in your use of the site and services.

// 04 Fees & payment

Fees for services are set out in the applicable proposal or order form. Unless stated otherwise, invoices are due within 15 days of issue. Late payments may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. We reserve the right to suspend or terminate services for accounts in arrears.

// 05 Intellectual property

All content on idencode.com — including text, graphics, logos, and code — is owned by or licensed to idenCode Solutions LLC and is protected by copyright, trademark, and other applicable laws. You may not copy, reproduce, modify, distribute, or create derivative works from this content without our prior written consent.

For client engagements, ownership of final, paid-for deliverables transfers to the client upon full payment, except for our pre-existing intellectual property, internal tools, methodologies, and any third-party assets we license. We retain the right to display non-confidential portions of completed work in our portfolio and case studies.

// 06 Confidentiality

Information shared between you and idenCODE during an engagement that is marked confidential, or that a reasonable person would understand to be confidential, will be treated as such. We will not disclose your confidential information to third parties without your consent, except where required by law or to subcontractors and team members bound by equivalent confidentiality obligations.

// 07 User-submitted content

If you submit information through forms, applications, or messages on this site (including the contact form and any web app), you grant us the right to use that information to respond to your inquiry, deliver the services you requested, and improve our offerings. // 08 Third-party services

Our website and applications may link to or integrate with third-party services (e.g., payment processors, analytics, hosting). We are not responsible for the content, policies, or practices of those third parties. Your use of any third-party service is subject to that service's own terms and privacy policy.

// 10 Limitation of liability

To the fullest extent permitted by law, idenCode Solutions LLC, its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the site or services. Our total aggregate liability for any claim arising from or related to these Terms or any engagement will not exceed the total fees paid by you to idenCODE for the engagement giving rise to the claim during the twelve (12) months immediately preceding the event.

You agree to indemnify and hold harmless idenCode Solutions LLC and its team from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms, your misuse of the site or services, or your violation of any applicable law or third-party right.

// 12 Termination

Either party may terminate an active engagement under the conditions set out in the applicable proposal. We may suspend or terminate your access to the site and services at any time, with or without notice, if we reasonably believe you have violated these Terms. Sections that by their nature should survive termination — including intellectual property, confidentiality, disclaimers, and limitations of liability — will continue in effect.

// 13 Governing law

These Terms are governed by the laws of the State of North Carolina, USA, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or your use of the services will be brought exclusively in the state or federal courts located in Wake County, North Carolina, and you consent to the personal jurisdiction of those courts.

We may update these Terms from time to time to reflect changes in our services or applicable law. The "Last updated" date at the top of this page indicates when the most recent revision took effect. Continued use of the site or services after changes are posted constitutes your acceptance of the updated Terms.
